Terms and Conditions

1. Purpose and scope

These Terms and Conditions apply to Plus and Max web subscriptions purchased for personal use as a consumer from Claire Marchyllie, a sole trader (entrepreneur individuel, EI) trading as Happy Diabetes, identified in the Contact section. You accept them before confirming your order.

Visiting the website or creating a free account does not constitute a paid subscription. These terms govern the sale and use of the services included in your web subscription; they do not constitute an order for separately sold content or services.

A subscription purchased on the web remains governed by these terms when you use included features through a compatible app. Purchases made directly through the App Store or Google Play, where offered, are governed by the terms presented in the relevant store's purchase process. The web payment, management and refund procedures described here concern subscriptions purchased from Happy Diabetes through Stripe.

2. Definitions

  • “We”, “Happy Diabetes”: Claire Marchyllie, the sole trader and contracting party identified in the Contact section.
  • “You”, “Customer”: the individual purchasing a subscription for personal needs outside their professional activity.
  • “Services”: the digital content and tools included in your chosen Plus or Max plan.
  • “Website”: the website and web app at happy-diabetes.com.
  • “Stripe”: Stripe Payments Europe, Limited (Dublin, Ireland), our payment provider for web subscriptions.

3. Included services

3.1 Guides and educational content

  • Online guides for understanding diabetes and preparing questions for your care team
  • Educational and interactive content
  • Access to guide modules according to your chosen plan

3.2 Plus and Max web subscriptions

Plus and Max are digital services provided continuously during your subscription. Features and quotas depend on the selected plan; they are shown on the plans page before ordering and retained in your contract confirmation. A subscription does not provide unlimited access to every feature.

You need an Internet connection and a recent browser with JavaScript and the cookies needed to sign in enabled. You are responsible for your equipment and connection costs. AI features are educational and may produce errors; they do not replace a diagnosis or decisions by your care team.

4. Pricing and Payment

4.1 Pricing

The total price, currency and applicable taxes are shown before you confirm your order; Stripe may offer a local currency. Where the transaction falls within our French small-business VAT exemption, VAT is not charged under Article 293 B of the French General Tax Code. Other transactions follow the tax rules applicable to the sale.

Your web subscription price may change to reflect changes in the costs of providing the service or our legal or tax obligations. We email you at least one month before the change takes effect, stating the reason, the old and new total prices, the billing frequency, the first affected billing date and how to decline the increase.

For monthly subscriptions, the new price applies on a billing date that meets this notice period. For annual subscriptions, the price stays unchanged during the current twelve months; the new price applies at the next renewal that meets this notice period. Any expressly guaranteed promotional prices remain applicable for the promised duration.

You can decline the increase by turning off renewal in your account, without a fee, before that date. You keep access until the end of the period already paid for. If you do not turn off renewal, your subscription continues and the announced new price is charged automatically on the stated date. No price change applies retroactively. If the notice period is not met, the increase is postponed to a later billing date that meets it. Your applicable mandatory rights remain unaffected.

4.2 Web payments

Payments are processed by Stripe Payments Europe, Limited (Dublin, Ireland). Available payment methods are shown before you confirm your order. Your subscription is charged at the chosen monthly or annual frequency, with automatic renewal as described in section 10.

4.3 Payment security

Payment is processed through Stripe's secure interface. Happy Diabetes does not retain your full card number or its security code.

5. Web contract and service access

An account is required. On the Stripe payment page, before confirming your subscription, you accept these terms and expressly request immediate access. This request does not remove your right of withdrawal. You can return to the plans page before paying.

Stripe displays the plan, total price, currency, billing frequency and any discount before you confirm an order carrying an obligation to pay. The contract is concluded when the subscription payment is confirmed, including an order reduced to zero by a discount. Personal access is activated on confirmation. Included guides are available during your access period; lifetime access is not promised.

You receive a durable email confirmation containing the contract, amount paid, duration and withdrawal arrangements, the full accepted terms and your request for immediate access. You can download a copy from your account. The accepted version and date are retained as evidence of the contract.

6. Withdrawal and refunds for web subscriptions

You have 14 days from conclusion of the contract to withdraw without giving a reason. The day of conclusion is excluded. The period ends at the end of its last day; if this falls on a Saturday, Sunday, public holiday or non-working holiday, it extends to the next working day. Statutory extensions, including where required information was missing, remain applicable.

In the user menu, open “Legal” → “Right of withdrawal”, or go directly to the section in your account: subscription withdrawal. Enter your full name, the contract and the email address for the acknowledgment, then select “Confirm withdrawal”. A dated acknowledgment is sent on a durable medium. You may also send any unambiguous statement to support@happy-diabetes.com or the business address in the Contact section before the period expires. These alternatives remain available if your contract does not appear in your account.

Even if you requested and used immediate access, Happy Diabetes refunds all amounts paid under the contract, without deducting used days. This is our launch commercial policy, more favourable than a proportionate deduction that may otherwise apply to services already provided. The refund is made without fees, without undue delay and no later than 14 days after your notification, using the original payment method unless you expressly agree to another method without fees. Your withdrawal ends your subscription and your right to use the paid features of that subscription. It does not delete your account: you keep access to the free plan if your account has not been deleted. These effects are separate from the refund timeframe; stopping renewal alone does not constitute withdrawal.

If you have already exercised your right of withdrawal for a previous subscription, a new request may be reviewed manually. This review does not reduce your right of withdrawal, the full refund described above or the applicable statutory deadlines. Having exercised this right before is not, by itself, a sufficient reason to refuse a request.

You may use this form or any other unambiguous statement. A missing contract reference or email address does not prevent us from taking account of a notification that identifies the consumer and the subscription concerned.

7. Acceptable Use

7.1 You agree to:

  • Use services only for personal purposes
  • Respect intellectual property rights
  • Not share your access credentials
  • Not attempt to circumvent security measures

7.2 You agree not to:

  • Use services for commercial purposes without authorization
  • Share content with third parties
  • Attempt to access other users' accounts
  • Use services abusively or fraudulently

8. Intellectual Property

8.1 Content

  • All website content is protected by copyright
  • Guides and educational content are our exclusive property
  • You receive a non-exclusive personal use license

8.2 Restrictions

  • You may not reproduce, distribute or modify content
  • You may not create derivative works
  • You may not use content for commercial purposes

9. Limitation of Liability

9.1 Educational Services

  • Our services are for educational purposes only
  • Happy Diabetes is not a medical device and does not diagnose, treat, cure, or prevent any medical condition
  • They do not constitute professional medical advice
  • Always consult a healthcare professional for your medical decisions

9.2 Availability

  • We strive to keep the website available 24/7
  • Interruptions may occur for maintenance
  • We do not guarantee continuous availability

9.3 Liability and statutory rights

Nothing in these terms limits your statutory guarantees, withdrawal rights or liabilities that cannot legally be excluded. Report a defect or access problem using the Contact details.

10. Web subscription duration and stopping renewal

Monthly: the contract is open-ended and billed monthly. You can stop renewal at any time in your account. Cancellation takes effect at the end of the paid period, with access retained until then.

Annual: the contract runs for 12 months, paid upfront, and automatically renews for further 12-month periods. You can refuse renewal at any time before the renewal date shown in your account. A dedicated email reminds you of this option between three months and one month before the deadline, which is displayed in a box. Stopping renewal preserves access until the end of the paid period.

If the annual renewal notice was not sent as required by Article L. 215-1 of the French Consumer Code, you may end the contract free of charge at any time after renewal. Advance payments made since the latest renewal are refunded within 30 days of termination, less amounts corresponding to service supplied until termination.

Outside withdrawal, statutory guarantees, missing renewal information or another mandatory right, stopping renewal does not refund the paid period. Plan changes and any prorations are displayed before confirmation. They do not extinguish a withdrawal right still open on the initial subscription.

A serious breach or non-payment may lead to suspension or termination under applicable law, with notice and an opportunity to remedy where required. Maintenance does not remove your statutory rights.

11. Changes to terms

Changes to web subscription prices follow the procedures in section 4.1.

The version accepted when ordering remains evidence of your contract. Material changes are communicated on a durable medium; statutory information, consent and termination rights remain applicable. Continued use alone does not waive these rights. No increase applies retroactively to an already paid period.

11.1 Updates and changes to the service

We provide the updates needed to keep the service compliant, including security updates, throughout the contractual supply period.

We may also change the service to improve accessibility or interoperability, or to adapt it to a technical or regulatory change affecting its supply. Such a change must serve one of these reasons and must not involve any additional cost. We inform you clearly by email, reasonably in advance, of the change, its reason, date and effects on your access and use.

If the change negatively affects your access or use, you may refuse it or, where possible, uninstall it. If that effect is more than minor, you have the right to terminate the contract without charge under the conditions and within the maximum thirty-day period provided by Article L. 224-25-26 of the French Consumer Code. This termination right does not apply if we offer to keep the service available without the change and that version remains compliant. Refunds and other effects of termination follow the applicable statutory provisions.

This clause does not allow unrestricted reductions in agreed features or quotas. A change outside these conditions requires an appropriate agreement or a new offer for a later period, respecting your rights. Any price increase follows section 4.1 exclusively.

12. Complaints and applicable law

For a complaint, contact Happy Diabetes using the details below. French law applies without depriving you of any applicable mandatory protections of your country of habitual residence. Competent courts are determined by statutory jurisdiction rules; you are not required to use French courts exclusively.

12.1 Disputes and consumer mediation

If a dispute arises, send a written complaint to support@happy-diabetes.com or to the business address in the legal notice so that we can seek an amicable solution.

If no amicable agreement is reached, or you receive no response within a reasonable period of one (1) month, you may refer an unresolved dispute free of charge to Société Médiation Professionnelle, a consumer mediator listed by the French Consumer Mediation Evaluation and Control Commission (CECMC) under Article L. 615-1 of the French Consumer Code, subject to the conditions in Article L. 612-2 of that Code.

You can submit your request through the mediator’s website or by post. Requests and mediation proceedings are in French. Mediation is optional and does not remove your right to bring the dispute before the competent court.

14. Final Provisions

14.1 Entirety

  • These terms constitute the entire agreement between us
  • Changes follow the notice and, where required, agreement procedures in sections 4.1 and 11, including by electronic means

14.2 Invalid or unfair terms

An unfair term is treated as unwritten. If a term is declared invalid or unfair, the rest of the contract remains applicable if it can continue without that term. We do not unilaterally replace it with another term. Your mandatory rights remain unaffected.

14.3 Force majeure

Force majeure is assessed under Article 1218 of the French Civil Code: the event must be beyond the affected party's control, could not reasonably have been foreseen when the contract was entered into, and must have effects that cannot be avoided by appropriate measures, preventing performance of the relevant obligation.

A temporary impediment suspends that obligation unless the delay justifies termination. A permanent impediment results in termination under the statutory conditions. A provider outage or difficulty is therefore not automatically force majeure. Applicable restitution rights and mandatory protections remain unaffected.

15. Statutory guarantees for digital services

Happy Diabetes is responsible for statutory guarantees. Use the Contact details to exercise them. The service is paid for in money; personal data is not contractual consideration for payment of Plus or Max. Data processing is described in the privacy policy.

Box adapted from the annex to Article D. 211-4 of the French Consumer Code for continuous supply (English translation):

Consumers may invoke the statutory conformity guarantee for any lack of conformity arising throughout the contractual supply period: for an open-ended monthly subscription, until it effectively ends; for an annual subscription, throughout the initial 12 months and each renewed 12-month period, from supply of the digital content or service. During that period, consumers need only establish that the lack of conformity exists, not when it arose.

The statutory conformity guarantee requires all updates necessary to maintain conformity of the digital content or service throughout those same contractual supply periods.

Consumers are entitled to have the digital content or service brought into conformity without undue delay following their request, free of charge and without major inconvenience.

Consumers may obtain a price reduction while keeping the digital content or service, or terminate the contract for a full refund in exchange for relinquishing the digital content or service, if:

  1. The trader refuses to bring the digital content or service into conformity;
  2. Bringing it into conformity is unjustifiably delayed;
  3. It cannot be brought into conformity without costs being imposed on the consumer;
  4. Bringing it into conformity causes major inconvenience to the consumer;
  5. The lack of conformity persists despite the trader's unsuccessful attempt to remedy it.

Consumers are also entitled to a price reduction or termination where the lack of conformity is so serious as to justify an immediate reduction or termination. They need not first request that the digital content or service be brought into conformity.

Where the lack of conformity is minor, consumers may terminate only if the contract does not provide for payment of a price.

Any period when the digital content or service is unavailable for the purpose of restoring conformity suspends the remaining guarantee until conforming content or service is supplied again.

These rights arise under Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.

A trader who obstructs the statutory conformity guarantee in bad faith may incur a civil fine of up to EUR 300,000, which may be increased to 10% of average annual turnover (Article L. 242-18-1 of the French Consumer Code).

Consumers also benefit from the statutory hidden-defects guarantee under Articles 1641 to 1649 of the French Civil Code for two years from discovery of the defect. It entitles them to a price reduction if they keep the digital content or service, or a full refund in exchange for relinquishing it.

16. Annex — renewal and termination

The following provisions of the French Consumer Code are included pursuant to Article L. 215-4, in the versions in force on 14 September 2026. This annex forms part of these terms and the copy supplied with your contract. The English translation below is provided for understanding; the complete French statutory text follows. This does not limit the mandatory consumer protections applicable in your country. Provisions concerning specific sectors retain their own scope.

English translation

Article L. 215-1

For service contracts entered into for a fixed term with an automatic renewal clause, the service provider must inform the consumer in writing, by a dedicated letter addressed personally to them or a dedicated email, no earlier than three months and no later than one month before the end of the period in which renewal may be rejected, of the possibility of not renewing the contract entered into with an automatic renewal clause.

This information, provided in clear and understandable terms, must state the deadline for declining renewal in a prominent box.

Where this information has not been sent in accordance with the first paragraph, the consumer may terminate the contract free of charge at any time from the renewal date.

Advance payments made after the latest renewal date or, for open-ended contracts, after the date on which the original fixed-term contract was converted, must in that case be refunded within thirty days of termination, less the amounts corresponding to performance of the contract up to that date.

This article applies without prejudice to statutory provisions imposing specific consumer information requirements on certain contracts.

By way of exception to the first paragraph, for contracts supplying television services within the meaning of Article 2 of Law No. 86-1067 of 30 September 1986 on freedom of communication, and contracts supplying on-demand audiovisual media services, the consumer may terminate the contract free of charge at any time from the first renewal if they change their residence or their tax household changes.

Article L. 215-1-1

Where a contract was entered into electronically, or by another means and the trader offers consumers the possibility of entering into contracts electronically on the date the consumer terminates the contract, termination must be possible electronically.

For this purpose, the trader must provide the consumer with a free feature allowing them to submit the notice and complete the steps necessary to terminate the contract electronically. When the consumer gives notice of termination, the trader must acknowledge receipt and inform them, on a durable medium and within a reasonable time, of the date on which the contract ends and the effects of termination.

A decree specifies, in particular, the technical arrangements ensuring identification of the consumer and easy, direct and permanent access to the feature referred to in the second paragraph, including its presentation and use. It determines the information the consumer must provide.

Article L. 215-2

The provisions of this chapter, except Article L. 215-1-1, do not apply to operators of drinking water and sanitation services.

Article L. 215-3

The provisions of this chapter also apply to contracts entered into between traders and non-professionals.

Article L. 241-3

Where the trader has not made the refund under the conditions laid down in Article L. 215-1, the amounts due bear interest at the statutory rate.

Article L. 215-1

Pour les contrats de prestations de services conclus pour une durée déterminée avec une clause de reconduction tacite, le professionnel prestataire de services informe le consommateur par écrit, par lettre nominative ou courrier électronique dédiés, au plus tôt trois mois et au plus tard un mois avant le terme de la période autorisant le rejet de la reconduction, de la possibilité de ne pas reconduire le contrat qu'il a conclu avec une clause de reconduction tacite.

Cette information, délivrée dans des termes clairs et compréhensibles, mentionne, dans un encadré apparent, la date limite de non-reconduction.

Lorsque cette information ne lui a pas été adressée conformément aux dispositions du premier alinéa, le consommateur peut mettre gratuitement un terme au contrat, à tout moment à compter de la date de reconduction.

Les avances effectuées après la dernière date de reconduction ou, s'agissant des contrats à durée indéterminée, après la date de transformation du contrat initial à durée déterminée, sont dans ce cas remboursées dans un délai de trente jours à compter de la date de résiliation, déduction faite des sommes correspondant, jusqu'à celle-ci, à l'exécution du contrat.

Les dispositions du présent article s'appliquent sans préjudice de celles qui soumettent légalement certains contrats à des règles particulières en ce qui concerne l'information du consommateur.

Par exception au premier alinéa du présent article, pour les contrats de fourniture de service de télévision au sens de l'article 2 de la loi n° 86-1067 du 30 septembre 1986 relative à la liberté de communication et pour les contrats de fourniture de services de médias audiovisuels à la demande, le consommateur peut mettre gratuitement un terme au contrat, à tout moment à compter de la première reconduction, dès lors qu'il change de domicile ou que son foyer fiscal évolue.

Article L. 215-1-1

Lorsqu'un contrat a été conclu par voie électronique ou a été conclu par un autre moyen et que le professionnel, au jour de la résiliation par le consommateur, offre au consommateur la possibilité de conclure des contrats par voie électronique, la résiliation est rendue possible selon cette modalité.

A cet effet, le professionnel met à la disposition du consommateur une fonctionnalité gratuite permettant d'accomplir, par voie électronique, la notification et les démarches nécessaires à la résiliation du contrat. Lorsque le consommateur notifie la résiliation du contrat, le professionnel lui confirme la réception de la notification et l'informe, sur un support durable et dans des délais raisonnables, de la date à laquelle le contrat prend fin et des effets de la résiliation.

Un décret fixe notamment les modalités techniques de nature à garantir une identification du consommateur et un accès facile, direct et permanent à la fonctionnalité mentionnée au deuxième alinéa, telles que ses modalités de présentation et d'utilisation. Il détermine les informations devant être fournies par le consommateur.

Article L. 215-2

Les dispositions du présent chapitre, à l'exception de l'article L. 215-1-1, ne sont pas applicables aux exploitants des services d'eau potable et d'assainissement.

Article L. 215-3

Les dispositions du présent chapitre sont également applicables aux contrats conclus entre des professionnels et des non-professionnels.

Article L. 241-3

Lorsque le professionnel n'a pas procédé au remboursement dans les conditions prévues à l'article L. 215-1, les sommes dues sont productives d'intérêts au taux légal.
